4.1 Not Medical Advice

NXS Clinical, including all Services, features, content, tools, and recommendations, does NOT constitute medical advice, medical diagnosis, medical treatment recommendations, or clinical decision support. Information provided is for educational and informational purposes only.

4.2 No Substitute for Professional Judgment

NXS Clinical is NOT a substitute for professional medical judgment, clinical experience, institutional clinical protocols, healthcare provider consultation, or professional healthcare decision-making. Clinical decisions must be made by qualified licensed healthcare providers in consultation with patients and following institutional guidelines.

4.3 Content Accuracy & Completeness

Despite reasonable efforts to maintain accuracy and completeness, NXS Clinical content may be incomplete, outdated, inaccurate, reflect only certain viewpoints, or contain errors. Clinical information evolves constantly. Users are solely responsible for independently verifying all information through current authoritative sources.

4.4 User Responsibility for Verification

YOU ARE SOLELY RESPONSIBLE for independently verifying all clinical information before any patient care use. This includes verification through:

• Current institutional policies and protocols
• Physician orders and clinical judgment
• Pharmacist verification of medications
• Manufacturer labeling and official reference standards
• Published clinical guidelines and evidence-based medicine
• Current professional standards of care

4.5 No Patient-Specific Recommendations

NXS Clinical provides educational information only and cannot evaluate individual patient circumstances, medical histories, medications, allergies, or other factors. All clinical decisions must be individualized by licensed healthcare providers with direct knowledge of patients.

4.6 Variation in Standards of Care

Standards of care, guidelines, and best practices vary by institution, region, specialty, and clinical context. Information on NXS Clinical may not reflect standards applicable in your specific setting. Always follow your institution's policies and your direct supervisors' guidance.

5.1 Account Information

To create a NXS Clinical account, you must provide accurate, current, and complete information. You agree to keep your account information up-to-date and to notify us immediately of any unauthorized access or security breach.

5.2 Password & Security

You are responsible for maintaining the confidentiality of your password and account credentials. You agree to notify NXS Clinical immediately of any unauthorized access or security breach. NXS Clinical is not liable for losses arising from unauthorized use of your account.

5.3 Single-User Per Account

Each account is intended for use by a single named individual. Sharing login credentials, sharing accounts, or allowing others to use your account is prohibited and violates these Terms. Organizational subscriptions may permit multiple users, but each user must maintain individual credentials.

5.4 Device Limits by Subscription Tier

Depending on your subscription plan, NXS Clinical may limit the number of devices on which you can access your account simultaneously. Student and Veteran plans may have restrictions. Standard plans may allow access on multiple devices. See your subscription tier details for specific limitations.

6.1 Subscription Tiers

NXS Clinical offers the following subscription plans:

• Student ($4.99/month): Enhanced features for healthcare students, including unlimited access to study tools, flashcards, exam prep materials, and educational references
• Standard ($9.99/month): Comprehensive access to all features, AI assistant, shift-support templates, advanced clinical tools, and professional resources
• Veteran ($7.99/month): Full feature access for military healthcare professionals, including all Standard tier benefits with specialized veteran-focused content

6.2 Billing & Auto-Renewal

Subscription fees are billed monthly or annually in accordance with your selected plan. By subscribing, you authorize NXS Clinical to charge your payment method on a recurring basis until you cancel. Billing occurs on the date you create your subscription or on the anniversary date if you selected an annual plan. Payment is processed by Stripe, a PCI-compliant payment processor.

6.3 Payment Information

You are responsible for providing accurate, current, and complete payment information. You are responsible for updating payment information if your credit card or payment method expires or changes. If payment fails, your subscription may be suspended until valid payment is provided.

6.4 Cancellation & Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds or credits are provided for partial months, unused portions of subscriptions, or early cancellation. If you cancel, you retain access to your subscription benefits through the end of your current billing period.

6.5 Price Changes

NXS Clinical may change subscription prices at any time. We will provide you with 30 days' written notice of any price increase via email. If you do not accept the new price, you may cancel your subscription without penalty before the price increase takes effect.

6.6 Free Trial Terms

NXS Clinical offers a 7-day free trial period for new users. Free trials are available to new users only and may not be combined with other promotions. At the end of your 7-day trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. Charges will be applied to your payment method on file at the rate applicable to your chosen subscription tier (Student, Standard, or Veteran).

7.1 No Real Patient Data

YOU MUST NOT ENTER, STORE, OR TRANSMIT REAL PATIENT DATA, PROTECTED HEALTH INFORMATION (PHI), OR ANY PERSONALLY IDENTIFIABLE HEALTH INFORMATION INTO NXS CLINICAL. This includes patient names, medical record numbers, dates of birth, diagnoses, medications, lab values, or any information that could identify a patient.

Violation of this provision violates HIPAA, HITECH, and similar healthcare privacy laws and may result in immediate account termination and legal action.

7.2 Shift Tools Data Storage

Shift-support tools (patient brain sheets, SBAR templates, handoff notes) store data locally on your device only. This data is not uploaded to NXS Clinical servers. Data may be cleared when you clear your browser cache or uninstall the application. You are responsible for managing your own data backups if needed.

7.3 Fictional Scenario Data Only

Any patient information entered into NXS Clinical study tools and scenarios must be entirely fictional and for educational purposes only. Do not use real patient information, real institutional names, real provider names, or any information that could identify actual patients or healthcare settings.

7.4 Prohibited Conduct

You agree not to:

• Scrape, crawl, or extract content from NXS Clinical using automated tools or bots without explicit written permission
• Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of NXS Clinical
• Redistribute, resell, sublicense, or commercially exploit any NXS Clinical content or Services
• Share your account credentials with others or permit others to use your account
• Use automated access or excessive bandwidth that impairs NXS Clinical performance or availability
• Engage in harassment, abuse, threats, or hostile conduct toward NXS Clinical staff or other users
• Upload, transmit, or distribute viruses, malware, ransomware, or harmful code
• Attempt to gain unauthorized access to NXS Clinical systems or data
• Engage in phishing, spam, or deceptive practices
• Violate any applicable law, regulation, or third-party intellectual property rights
• Violate institutional policies or professional ethics standards

7.5 User-Generated Content

You retain all ownership rights to any content you create or upload to NXS Clinical (study notes, scenarios, flashcards, or other materials). By uploading content to NXS Clinical, you grant NXS Clinical a non-exclusive, royalty-free, perpetual license to use, store, display, analyze, and modify your content to provide and improve the Services. NXS Clinical may use aggregated or anonymized data from your content for analytics and service improvement.

8.1 AI Powered by Anthropic Claude

NXS Clinical's AI Assistant is powered by Anthropic's Claude API. Use of the AI Assistant is subject to Anthropic's terms and conditions in addition to these NXS Clinical Terms.

8.2 AI Hallucinations & Inaccuracy

The AI Assistant may produce inaccurate, incomplete, or misleading information, commonly known as "hallucinations." The AI may confidently state false information, create fictional references, or provide outdated guidance. The AI Assistant is not a reliable source of clinical information and must NEVER be used as the sole basis for clinical decisions.

8.3 Educational Use Only

The AI Assistant is provided for educational exploration and learning only. It is not clinical decision support and must not be used to make patient care decisions. All AI-generated responses require independent verification through authoritative sources before any clinical use.

8.4 No Patient-Identifiable Information

DO NOT SUBMIT PATIENT-IDENTIFIABLE INFORMATION TO THE AI ASSISTANT. Do not include patient names, ages, dates of birth, medical record numbers, hospital identifiers, or any information that could identify specific patients. All clinical scenarios must use entirely fictional data.

8.5 Third-Party Processing

Your prompts and conversations with the AI Assistant are transmitted to and processed by Anthropic's servers. This constitutes transmission of your information to a third party. Review Anthropic's privacy policy for details on how your data is processed, stored, and retained.

8.6 No Liability for AI Output

NXS Clinical and Anthropic assume no liability for any harm, injury, or adverse outcomes resulting from reliance on AI-generated information. The AI Assistant is "as-is" with no warranties of accuracy, completeness, or safety. You are solely responsible for independent verification of all AI-generated information.

9.1 NXS Clinical Ownership

All content, features, functionality, design, and technology of NXS Clinical—including but not limited to text, graphics, logos, images, icons, software code, algorithms, databases, user interfaces, and any derivative works—are the exclusive intellectual property of NXS Clinical or its licensors. These materials are protected by international copyright, trademark, patent, and other intellectual property laws.

9.2 Limited License

Subject to full compliance with these Terms, NXS Clinical grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use NXS Clinical for personal, educational, non-commercial professional learning purposes only. This license is revocable at any time.

9.3 Restrictions on Use

You may not:

• Reproduce, distribute, or create derivative works of any NXS Clinical content
• Publicly display, perform, or communicate NXS Clinical content
• Extract or compile content into competing products or services
• Remove, modify, or obscure any copyright, trademark, or proprietary notices
• Sublicense, sell, resell, rent, lease, or otherwise commercially exploit the Services

9.4 Third-Party Content

NXS Clinical includes content licensed from third-party providers, including drug reference databases, clinical guidelines, board exam questions, and other materials. These materials remain subject to their original licenses and usage restrictions. Your use of such content is limited to your own personal, non-commercial educational use only and subject to the specific license terms of the content provider.

9.5 Feedback & Suggestions

If you submit feedback, suggestions, or ideas to NXS Clinical, you grant NXS Clinical a non-exclusive, perpetual, royalty-free, worldwide license to use such feedback for any purpose without compensation or attribution to you.

13.1 Termination Rights

NXS Clinical may suspend or terminate your access to the Services and account, immediately and without notice, if:

• You violate any provision of these Terms
• You engage in unauthorized access, use, or abuse of NXS Clinical systems
• You enter, store, or transmit real patient data or Protected Health Information
• You use NXS Clinical in a way that harms patients or violates professional ethics
• Your license to practice healthcare is suspended or revoked
• You engage in illegal activity or fraud
• You pose a risk to the security or integrity of NXS Clinical or other users
• You fail to pay subscription fees for more than 30 days

13.2 Effect of Termination

Upon termination or suspension, your right to use NXS Clinical immediately ceases. You may lose access to your account and all data, study materials, notes, and progress. NXS Clinical may delete your account and associated data. However, you may request a data export within 30 days of termination.

13.3 Survival

Sections concerning Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Contact will survive termination of these Terms.

15.1 Informal Resolution

Before initiating legal proceedings, you agree to attempt to resolve any dispute with NXS Clinical informally by contacting us at support@nxsclinical.com with a detailed description of the issue. Provide NXS Clinical with 30 days to respond and attempt informal resolution.

15.2 Formal Dispute Resolution

If informal resolution fails within 30 days, you may pursue legal remedies exclusively in the state and federal courts located in Louisiana as set forth in Section 14. No other forums (arbitration, mediation, small claims court) are permitted except by mutual written agreement of the parties.

16.1 Severability

If any provision of these Terms is found to be invalid, unenforceable, or unlawful by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The remaining provisions shall continue in full force and effect. However, if the severed provision is material to these Terms, both parties may terminate the agreement.

16.2 Entire Agreement

These Terms of Service, together with any applicable Privacy Policy, constitute the entire agreement between you and NXS Clinical regarding your use of the Services and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written. No prior representations, warranties, or conditions are included except as expressly stated in these Terms.

16.3 Waiver

NXS Clinical's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver of a provision must be in writing and signed by NXS Clinical. A single waiver does not constitute a continuing waiver or waiver of any other provision.
